Terms of Service

1. Parties and Acceptance of Terms

These Terms of Service ("Terms") govern the contractual relationship between the individual or entity that has registered on the Elyra platform ("User" or "you") and the operator of the platform available at elyra.sk ("Elyra" or "we").

By registering an account, accessing or using the platform, you confirm that you have read, understood and agree to these Terms in full. If you do not agree, you must immediately cease using the platform.

If you act on behalf of a legal entity, you represent that you have authority to bind that legal entity to these Terms.

2. Description and Scope of Service

Elyra provides a cloud-based platform for deploying, configuring and operating AI voice agents designed to automate inbound and outbound telephone calls. The platform includes, without limitation, agent setup, knowledge base management, call analytics and billing tools.

Elyra reserves the right to expand, modify or discontinue any feature of the platform at any time with reasonable prior notice, unless technical or security reasons require otherwise.

3. Account Registration and Security

You must create an account to access the platform. You agree to provide accurate, complete and current registration information and to update it promptly upon any change.

You bear sole responsibility for maintaining the confidentiality of your credentials and for all activities performed through your account. You must immediately report any unauthorised use to security@elyra.sk. Elyra is not liable for damages arising from unauthorised use of your credentials.

4. Payments, Subscriptions and Billing

  • Subscription fees are billed monthly in advance on the registration or renewal date.
  • Subscriptions auto-renew unless you cancel at least 24 hours before the renewal date.
  • Payments are processed securely via a certified third-party payment intermediary. We do not store card numbers or sensitive payment information.
  • Fees paid for the current billing period are non-refundable except as required by applicable law or as otherwise agreed in writing.
  • In case of a failed payment, access to the platform may be temporarily suspended. We will give at least 30 days notice of any price changes.
  • Any applicable tax obligations (e.g. VAT) are borne by the User under applicable regulations.

5. Acceptable and Prohibited Use

The platform may only be used by individuals over 18 years of age or legal entities represented by an authorised representative. You expressly agree not to use the platform to:

  • violate any applicable laws, regulations or regulatory requirements
  • making unsolicited calls or sending spam without demonstrable recipient consent
  • impersonating any person, entity or organisation
  • distributing harmful, deceptive, obscene, hateful or fraudulent content
  • unauthorised access to third-party systems, databases or networks
  • attempting to bypass, disrupt or overload the platform infrastructure
  • reverse engineering, decompiling or otherwise attempting to obtain source code
  • harvesting personal data of third parties without a legal basis
  • any activity infringing the intellectual property rights of third parties

Elyra reserves the right to immediately suspend or terminate access of users who violate these rules, without entitlement to a refund.

6. User Responsibility for Telephone Communications

You, not Elyra, are the operator of the voice agents and bear full responsibility for:

  • compliance with call recording laws (e.g. informing callers about recording)
  • obtaining caller/callee consent in accordance with GDPR, TCPA and other applicable regulations
  • the content of agent responses and accuracy of information provided
  • lawfulness of outbound campaigns including maintaining an opt-out list
  • any complaints, fines or sanctions connected with your calls

Elyra does not provide legal advice. We recommend consulting a qualified lawyer about the lawfulness of your telephone communications.

7. Intellectual Property

The Elyra platform, its software, logo, design, documentation and all other elements are the exclusive property of Elyra or its licensors and are protected by copyright, trademark and other intellectual property laws. You may not copy, reproduce, distribute or create derivative works without our express written consent.

Content you create (system prompts, agent configurations, knowledge base content) remains your property. You grant us a non-exclusive, royalty-free licence to use such content solely for the purpose of providing the service.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELYRA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Elyra does not warrant that the platform will be uninterrupted, error-free or virus-free, nor that results obtained through the platform will be accurate, complete or reliable.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELYRA, ITS DIRECTORS, EMPLOYEES, AGENTS AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFIT, DATA, GOODWILL OR BUSINESS INTERRUPTION, EVEN IF ELYRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Elyra's total cumulative liability to you for any reason shall not exceed the greater of: (a) the total fees paid to Elyra in the 12 months preceding the event giving rise to the claim, or (b) EUR 100.

Some jurisdictions do not permit exclusion or limitation of liability for certain types of damages; in such cases the above limitations apply to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend and hold harmless Elyra, its directors, employees, agents and partners from any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising from: (a) your use of the platform; (b) your breach of these Terms; (c) your violation of third-party rights including privacy or intellectual property rights; or (d) the content of your voice agents or calls.

11. Service Availability and Force Majeure

We strive for platform availability 24 hours a day, 7 days a week, but do not guarantee uninterrupted or error-free operation. We may temporarily interrupt or restrict access for scheduled or unscheduled maintenance, updates or reasons beyond our control.

Elyra is not liable for delay or failure to perform its obligations due to circumstances beyond its reasonable control (force majeure), including without limitation: natural disasters, armed conflicts, cyber attacks, third-party infrastructure outages, pandemic measures or regulatory changes.

12. Termination

You may cancel your account at any time through settings. Cancellation takes effect at the end of the current billing period.

Elyra reserves the right to immediately suspend or terminate your access without prior notice in the event of: (a) material or repeated breach of these Terms; (b) reasonable suspicion of fraud, abuse or unlawful activity; (c) an obligation to terminate imposed by a competent public authority.

Upon termination your right to access the platform ceases immediately. Your data will be deleted in accordance with the Privacy Policy.

13. Changes to Terms

We may update these Terms periodically. We will notify you of material changes by email or prominent in-app notice at least 14 days before they take effect. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms. If you disagree with the changes, you have the right to terminate the contract before the effective date.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Slovak Republic, excluding conflict of law provisions.

Before bringing any legal action, both parties must make reasonable efforts to resolve the dispute amicably through direct negotiation. If the dispute is not resolved within 30 days of written notification, it shall be submitted for resolution to the competent court in Bratislava, Slovak Republic.

15. Severability and Entire Agreement

If any provision of these Terms is found by a competent court or authority to be invalid, ineffective or unenforceable, that provision will be limited to the minimum extent necessary and the remaining provisions shall remain in full force and effect.

These Terms together with the Privacy Policy constitute the entire agreement between you and Elyra with respect to the platform and supersede all prior agreements, negotiations and representations.
